On January 8, 2024, Merck announced an agreement to acquire Harpoon Therapeutics for $23.00 per share in cash, an approximate total equity value of $680 million, further diversifying its oncology pipeline. Harpoon is a clinical-stage immunotherapy company developing T-cell engagers. Its lead candidate, gocatamig (MK-6070, formerly HPN328), is a T-cell engager targeting delta-like ligand 3 (DLL3), an inhibitory canonical Notch ligand expressed at high levels in small cell lung cancer and neuroendocrine tumors. The transaction completed in March 2024; Merck subsequently reported the acquisition at $765 million together with $56 million of transaction costs, reflecting final consideration and accounting treatment. Strategically the deal is a bolt-on addressing Merck's need to build revenue ahead of Keytruda loss of exclusivity.

Small cell lung cancer is a high-grade neuroendocrine carcinoma characterised by rapid growth, early metastasis and initial chemosensitivity followed by near-universal relapse. Incidence has declined with falling smoking prevalence, but survival outcomes have remained largely stagnant.

Competitive Landscape

DLL3 is the dominant SCLC surface target. Tarlatamab (DLL3xCD3 bispecific T-cell engager) established clinical proof of concept and set the competitive bar; other entrants include DLL3-directed T-cell engagers and antibody-drug conjugates. Standard of care remains platinum-etoposide with a PD-L1 inhibitor (atezolizumab or durvalumab) in the first line, with lurbinectedin and topotecan in later lines.

Neuroendocrine tumors

Neuroendocrine tumors are a heterogeneous group of malignancies arising from neuroendocrine cells across the gastrointestinal tract, pancreas and lung. High-grade neuroendocrine carcinomas share DLL3 expression with small cell lung cancer, providing a biologic rationale for extending DLL3-directed therapy beyond SCLC.

DLL3 is an inhibitory canonical Notch ligand aberrantly expressed on the surface of high-grade neuroendocrine tumors while largely absent from normal tissue, making it a favourable T-cell engager target in this setting.
