Gilead Sciences agreed to acquire HOOKIPA Pharma's assets for the HB-400 chronic hepatitis B program and certain assets of the HB-500 HIV program, both previously developed under the parties' 2022 amended and restated research collaboration and license agreement. Consideration is up to $10 million in cash, with $3 million payable at closing and up to $7 million in staged transfer-completion payments. The sale required HOOKIPA stockholder approval and closed on October 30, 2025.
