Gilead Sciences entered a definitive agreement to acquire Arcellx for US$115.00 per share in cash plus one non-transferable contingent value right of US$5.00 per share, an implied total equity value of approximately US$7.8 billion. The deal gives Gilead full control of anitocabtagene autoleucel (anito-cel), a BCMA-directed CAR T-cell therapy for multiple myeloma that Gilead's Kite unit had previously been co-developing with Arcellx. The CVR pays out if anito-cel reaches at least US$6 billion in cumulative global net sales through 2029. The acquisition closed on 28 April 2026.
