Agilent Technologies acquired Resolution Bioscience for $550 million in cash at closing plus up to $145 million in performance milestones (total up to $695 million), expanding Agilent's capabilities in NGS-based liquid biopsy cancer diagnostics and precision medicine. Post-close, the acquired platform delivered Agilent's first FDA-approved liquid-biopsy companion diagnostic: the Agilent Resolution ctDx FIRST (PMA P210040) won FDA approval on December 12, 2022 as the first liquid-biopsy CDx to identify KRAS G12C-mutated advanced NSCLC patients eligible for Krazati (adagrasib, Mirati Therapeutics), and in January 2023 Agilent partnered with Quest Diagnostics to extend US national access to the test.
