Largely worked — most objectives met.

Roche (via subsidiary Blue Giant Acquisition Corp.) acquired San Diego-based cell-therapy developer Poseida Therapeutics in a tender-offer takeover announced 26 November 2024 and completed 8 January 2025. Holders received US$9.00 per share in cash at closing -- a total upfront equity value of approximately US$1.0 billion, a ~215% premium to Poseida's 25 November 2024 close -- plus a non-tradeable contingent value right (CVR) for up to an additional US$4.00 per share, bringing total potential deal value to approximately US$1.5 billion. The acquisition gives Roche Poseida's allogeneic (off-the-shelf) CAR-T platform and lead candidates P-BCMA-ALLO1 (BCMA-targeted, RMAT-designated in relapsed/refractory multiple myeloma), the dual-targeting P-CD19CD20-ALLO1 (B-cell malignancies and autoimmune indications including MS and SLE), and the solid-tumor program P-MUC1C-ALLO1, deepening Roche's bet that allogeneic CAR-Ts can broaden access relative to autologous cell therapies. Poseida was delisted from Nasdaq on close.
