Jazz Pharmaceuticals agreed on August 10, 2026 to acquire Actio Biosciences in an all-cash merger for $820 million upfront, with Actio securityholders eligible for up to $500 million in contingent payments tied to regulatory approval and sales milestones for ABS-1230 in KCNT1-related epilepsy, for total potential consideration of up to $1.32 billion. ABS-1230 is a first-in-class oral small-molecule KCNT1 potassium ion channel inhibitor for KCNT1-related epilepsy, a rare genetic developmental and epileptic encephalopathy affecting roughly 2,500 patients in the United States. Actio's non-ABS-1230 programs will be spun out into a separate company (SpinCo) in which Jazz will hold a minority stake. Closing is subject to Hart-Scott-Rodino clearance and supermajority Actio shareholder approval, and is expected by Q4 2026. The deal extends Jazz's rare-epilepsy franchise alongside Epidiolex.
