Focal articular cartilage defects in the knee — caused by sports injury or trauma — do not heal spontaneously and can progress to early osteoarthritis if untreated. Autologous chondrocyte implantation (ACI) takes a small biopsy of the patient's own cartilage cells, expands them ex vivo, and reimplants them into the defect. First-generation ACI (Genzyme's Carticel, approved 1997) required a periosteal cover-flap surgery; matrix-induced ACI (MACI) seeded the cells onto a collagen membrane, simplifying the procedure.
By 2005, Genzyme's Carticel was the only FDA-approved cell-based cartilage repair product in the U.S., but European competition was advancing matrix-based second-generation ACI products: Verigen's MACI, TiGenix's ChondroCelect (later approved as the EU's first ATMP in 2009), and CO.DON's Spherox. Microfracture surgery (Steadman technique) and osteochondral autograft transfer (OATS/mosaicplasty) were the surgical alternatives. Genzyme acquired Verigen for '$10 million in initial payments, and potential additional payments of up to $40 million over the next six years based upon the achievement of development and commercial milestones', gaining 'cell culture facilities in Europe and Australia' and the MACI product 'currently sold in Europe and Australia.' The deal positioned Genzyme to migrate Carticel to a less-invasive second-generation product for the U.S. market. Forward-looking close: A decade post-close, Genzyme's biosurgery franchise was acquired by Sanofi in 2011 for ~$20.1B (Sanofi was primarily after Cerezyme/Myozyme, not cartilage), and MACI was eventually divested to Vericel Corporation in April 2014 along with Carticel and Epicel; Vericel won FDA approval for MACI in December 2016 — 11 years after Genzyme's Verigen acquisition — and built it into a profitable orthobiologic franchise generating over $200M in annual revenue by the early 2020s.
