A thin-upfront platform bet: Genmab paid Bolt just $10M cash plus a $15M equity investment for ISAC collaboration rights worth up to $285M per program across three candidates, leaving the real payoff entirely dependent on future milestones.

Genmab and Bolt entered an oncology R&D collaboration combining Genmab's antibody and bispecific platforms with Bolt's Boltbody ISAC technology. Bolt received $10M upfront plus a $15M equity investment and is eligible for up to $285M per program for up to three Genmab-developed candidates plus tiered royalties.
1.9M US cases/yr · $185.0B Global oncology drug market 2021 (USD MM) · 54000 US HER2-positive breast and gastric cancer cases annually
The deal targets HER2-expressing and broader solid tumor indications with a novel myeloid-activating ISAC modality. Solid tumors collectively comprise approximately 90% of US cancer incidence, with the American Cancer Society projecting roughly 1.9 million new cancer diagnoses and 608,570 deaths in 2021. HER2-positive cancers — the lead immunology focus for the BDC-1001 program — span breast (HER2+ ~15-20% of ~280,000 annual US breast cancers per ACS), gastric/GEJ (HER2+ ~15-20% of ~26,000 annual cases), endometrial, biliary tract, colorectal and salivary gland subsets. While HER2-targeted ADCs Enhertu (trastuzumab deruxtecan, Daiichi Sankyo/AstraZeneca, FDA 2019) and Kadcyla (T-DM1, Genentech, FDA 2013) and HER2 antibodies Herceptin and Perjeta have transformed HER2+ care, resistance, brain metastases, and HER2-low/heterogeneous expression remain unmet needs. The broader rationale for ISAC technology is that traditional ADCs deliver a cytotoxic payload to tumor cells but do not durably engage anti-tumor innate immunity, while checkpoint inhibitors require pre-existing immune infiltrate. ISACs combine antibody-mediated tumor targeting with TLR7/8-driven myeloid activation in the tumor microenvironment, aiming to convert immunologically cold tumors into hot ones and produce durable T-cell-dependent immunity beyond payload-mediated cell killing.
At deal date (June 2021) the ISAC space was nascent and largely preclinical/early Phase 1. Bolt Biotherapeutics' lead Boltbody asset, BDC-1001 (anti-HER2 + TLR7/8), was in Phase 1/2 dose escalation and had presented initial monotherapy and pembrolizumab combination data at AACR/ASCO 2021. Direct ISAC competitors included Silverback Therapeutics (SBT6050, anti-HER2 + TLR8 agonist, Phase 1, discontinued Sep 2022 after limited efficacy and safety signals), Tallac Therapeutics (TAC-001, anti-CD22 + TLR9, preclinical/IND), Mersana Therapeutics (XMT-2056, HER2 ISAC with Immunosynthen platform, partnered with GSK 2022), Sutro Biopharma (STRO-001 had switched focus from ISAC) and Birdie Pharmaceuticals (BDC platform, China). Adjacent myeloid-activating modalities included Trillium/Pfizer SIRPα-Fc CD47 platform (TTI-622/621, $2.3B Pfizer acquisition Aug 2021), Gilead/Forty Seven magrolimab (anti-CD47), Surface Oncology NZV930/SRF617 anti-CD73/CD39, ALX Oncology evorpacept (CD47 SIRPα), Compugen COM701 (PVRIG) and various STING agonists (Aduro/Chinook, Spring Bank/F-star, Eisai E7766). For HER2 targeting more broadly the field included Enhertu (trastuzumab deruxtecan, $214M 2021 sales pre-launch ramp), Kadcyla, Margetuximab (Margenza, Macrogenics, FDA Dec 2020), Tukysa (tucatinib, Seagen) and Perjeta. Genmab's antibody platforms (DuoBody bispecifics, HexaBody hexamerization) provide complementary IO and ADC backbones for combining with Bolt's payload chemistry.
