Fresenius SE / Fresenius Kabi / mAbxience

2026 · Acquisition/Merger · $850M · Complete

Fresenius acquired the remaining 45% of biosimilars developer mAbxience from Insud Pharma and Invim Corporativo for total cash consideration of up to EUR 750 million, taking full ownership of the platform. The consideration includes a EUR 50 million payment contingent on site approvals. The transaction was signed and completed on September 30, 2026 and did not require regulatory approvals. Fresenius had acquired an initial 55% majority stake in mAbxience in August 2022 and has controlled and consolidated the business since. Full ownership creates a vertically integrated biosimilars platform spanning research, development, manufacturing, regulatory activities and commercialization, giving Fresenius greater control over future investment, manufacturing capacity, cost structure and launch timing. mAbxience generated more than EUR 320 million of revenue in 2025 at an EBITDA margin accretive to Fresenius Kabi.

This deal is too recent to grade. Critic Score and Outcome Score are assigned after the announcement-week coverage settles and, for Outcome, after the 5-year post-close assessment window opens — expected 2031 at the earliest for this deal.
