Eli Lilly agreed to acquire Ventyx Biosciences for $14.00 per share in an all-cash transaction valued at approximately $1.2 billion, a ~62% premium to the 30-day VWAP. The acquisition adds Ventyx's oral NLRP3 inhibitor franchise (VTX2735 in Phase 2 for recurrent pericarditis; VTX3232 CNS-penetrant for Parkinson's and cardiometabolic disease) plus tamuzimod (VTX002) S1P1R modulator and VTX958 TYK2 inhibitor for IBD. Deal follows positive Ventyx Phase 2 readouts in Parkinson's and cardiovascular biomarkers in late 2025.
