Fulcrum Therapeutics and Slate Medicines signed a definitive merger agreement dated August 16, 2026 and announced on August 17, 2026 to combine in an all-stock reverse merger. The combined company will operate as Slate Medicines under CEO Gregory Oakes and will advance Slate's next-generation migraine portfolio, led by SLTE-1009, a clinical-stage subcutaneous anti-PACAP/VIP monoclonal antibody for migraine prevention. Slate investors will hold approximately 95% of the combined company and Fulcrum stockholders approximately 5%. A concurrent oversubscribed private placement of USD 245 million from a syndicate of healthcare investors is expected to fund operations into 2029. The transaction gives Fulcrum an exit after it discontinued pociredir in sickle cell disease and began exploring strategic alternatives in June 2026. No transaction consideration value was disclosed; the USD 245 million is concurrent financing, not deal value.
