Pharma BD Deal Intelligence
Processa Pharmaceuticals agreed to acquire Vidya Therapeutics in a stock-for-stock transaction, alongside an oversubscribed concurrent private placement of approximately $200 million from a syndicate including Bain Capital Life Sciences, Janus Henderson Investors, RA Capital Management and SilverArc Capital. The transaction brings VT-7208 -- a next-generation, CNS-penetrant, once-daily oral covalent BTK inhibitor -- into Processa's pipeline. Proceeds are expected to fund operations into the second half of 2029, through Phase 2 proof-of-concept readouts in food allergy, chronic spontaneous urticaria and relapsing multiple sclerosis. Consideration for Vidya itself was not separately disclosed; the ~$200 million figure is concurrent financing, not deal value.
