Oculis buys out its own in-licence, taking full global rights to privosegtor
Full analysis, sources & comparables →Oculis Holding AG signed an asset purchase agreement with Accure Therapeutics S.L. to acquire worldwide rights to privosegtor (ACT-01), Accure's lead neuro-ophthalmology candidate in registrational trials for optic neuropathies and acute multiple sclerosis relapses, at a first closing, and ACT-02, a preclinical neurology candidate, at a subsequent closing contingent on completion of the ACT-01 transaction. Total consideration is an upfront cash payment of USD 3.8 million (CHF 3.1 million) at first closing plus up to 2,050,000 Oculis ordinary shares, comprising locked-up upfront shares and milestone-based earnout shares tied to development and regulatory achievements. The privosegtor closing is expected no later than February 28, 2027, and on completion the existing Oculis-Accure license agreement for privosegtor terminates, eliminating its milestone and royalty obligations.
Optic neuropathies and acute optic neuritis associated with multiple sclerosis relapses involve retinal ganglion cell and axonal injury with limited neuroprotective treatment options. Privosegtor is being investigated in registrational trials in these neuro-ophthalmology indications.
Oculis acquires worldwide rights to privosegtor at a first closing expected no later than February 28, 2027, and to preclinical candidate ACT-02 at a subsequent closing contingent on the first. Consideration is $3.8M (CHF 3.1M) cash plus up to 2,050,000 ordinary shares. On completion the existing Oculis-Accure licence terminates, eliminating its milestone and royalty obligations - converting a royalty-bearing licence into outright ownership.
