Novo Nordisk acquired Emisphere Technologies (Nasdaq: EMIS) for $1.35 billion in cash (~$7.83/share on ~170.9M fully diluted shares; ~17% premium), completing December 8, 2020. Concurrently, Novo Nordisk paid a separate $450 million to affiliates of MHR Fund Management LLC to acquire the related Eligen/SNAC royalty-stream obligations — bringing total consideration to roughly $1.8 billion. The prize was Emisphere's proprietary Eligen oral drug-delivery technology (the SNAC absorption-enhancing carrier), already licensed by Novo Nordisk and used in the oral formulation of semaglutide (Rybelsus), the first oral GLP-1 receptor agonist. The buy-in eliminated future royalty leakage on a franchise whose oral semaglutide product reached DKK 23.3 billion (~$3.4B) in net sales by FY2024.

Disease & market context

Type 2 Diabetes / Obesity

$53.5B Global GLP-1 Market (2024)

Disease Overview

Type 2 diabetes (T2D) is a chronic metabolic disorder characterized by insulin resistance combined with progressive beta-cell dysfunction, leading to hyperglycemia. It affects approximately 38 million U.S. adults, with an additional ~98 million having prediabetes. Obesity — a complex chronic disease in which excess adiposity increases health risk, commonly defined by BMI ≥30 kg/m^2 — affects more than 100 million U.S. adults and is the dominant modifiable driver of T2D incidence. Shared risk factors include age, family history, ancestry, sedentary lifestyle, energy-dense diets, and gestational diabetes history. T2D is diagnosed by fasting plasma glucose ≥126 mg/dL, HbA1c ≥6.5%, 2-hour OGTT ≥200 mg/dL, or symptomatic hyperglycemia with random glucose ≥200 mg/dL. Complications span microvascular (retinopathy, nephropathy, neuropathy) and macrovascular (coronary disease, stroke, peripheral arterial disease) domains, plus MASLD/MASH and increased cancer risk. Management is individualized and combines medical nutrition therapy, physical activity, and weight management (including intensive lifestyle intervention, pharmacotherapy, and metabolic/bariatric surgery in eligible patients) with pharmacologic therapy — metformin, GLP-1 receptor agonists, GIP/GLP-1 co-agonists, SGLT2 inhibitors, DPP-4 inhibitors, thiazolidinediones, sulfonylureas, and insulin — with emphasis on cardiorenal risk reduction using agents with proven outcomes benefit.

SNAC Technology Impact

SNAC (sodium N-[8-(2-hydroxybenzoyl) amino] caprylate) is the key technology enabling oral peptide delivery. It temporarily disrupts gastric epithelium to allow semaglutide absorption. Rybelsus ($2.5B) provides an oral alternative to injectable Ozempic. Oral semaglutide has since been approved for CV risk reduction and is being developed for obesity (oral Wegovy).
