Neurocrine Biosciences and Takeda entered an Amended and Restated Exclusive License Agreement that amends and restates in its entirety their Exclusive License Agreement of June 12, 2020. The restructuring converts osavampator (NBI-1065845 / TAK-653) from an operating profit-and-loss share to a royalty-bearing license, returns Japanese rights to Takeda, and reflects Neurocrine's prior termination of the DAAO inhibitor programs (including luvadaxistat) and GPR139 agonists (including NBI-1065846). Neurocrine retains exclusive worldwide rights to develop and commercialize osavampator, a potential first-in-class AMPA positive allosteric modulator in development for major depressive disorder with inadequate treatment response, in all territories except Japan. Each party funds development in its own territory, each is eligible for royalties on the other's net sales, and Takeda is eligible for development and commercial milestones.
