Johnson & Johnson entered strategic agreements with Sail Biomedicines to develop in vivo CAR-T therapies for immune-mediated diseases, with an exclusive option to acquire Sail. J&J makes total initial payments of $785 million, including a $465 million equity investment, plus $140 million in contingent development milestone payments; exercising the acquisition option would trigger an additional $2.58 billion payment. Sail's platform is designed to generate CAR-T cells directly in the body, avoiding ex vivo cell manufacturing. J&J guided to adjusted EPS dilution of roughly $0.18 in 2026 and $1.28 in 2027 assuming option exercise.
