EQT Private Equity agreed to take molecular-diagnostics and life-science-tools company QIAGEN N.V. private in an all-cash public offer at EUR 46.50 (USD 51.88) per share, valuing QIAGEN at approximately EUR 10.8 billion (USD 12.1 billion) enterprise value. The bidding vehicle, Crown NL Bidco, is indirectly controlled by EQT XI, with co-investors Luxinva (a subsidiary of the Abu Dhabi Investment Authority) and CPP Investment Board Europe. The price is an 8.6% premium to QIAGEN's prior-day close and a 40.3% premium to the EUR 33.15 XETRA close on 8 July 2026, the last trading day before press reports of private-equity interest, and a 46.9% premium to the three-month VWAP through that date. QIAGEN's Supervisory and Managing Boards unanimously support the transaction. Completion is conditioned on a minimum acceptance threshold of 50% of outstanding share capital plus one share, EGM resolutions, and antitrust and foreign-investment clearances, and is expected in mid-2027.
