Clayton, Dubilier & Rice, LLC / Option Care Health, Inc.

2026 · Take-Private · $5.8B · Pending

On October 6, 2026 Clayton, Dubilier & Rice and McKesson Corporation entered a definitive agreement to acquire Option Care Health, Inc. for $32.05 per share in cash, an enterprise value of approximately $5.8 billion and roughly a 37% premium to the prior day's close. CD&R will hold a majority interest of approximately 51% and McKesson a minority interest of approximately 49%, with McKesson investing about $1.4 billion. Option Care Health will continue to operate as a separate company under its existing management team. The agreement also sets a framework under which McKesson could eventually acquire CD&R's stake, subject to specified conditions and regulatory approvals. Closing is expected in the first half of calendar 2027. NOTE: the deals schema records a single buyer; CD&R is recorded as the majority acquirer and McKesson's 49% co-investment is captured here.

This deal is too recent to grade. Critic Score and Outcome Score are assigned after the announcement-week coverage settles and, for Outcome, after the 5-year post-close assessment window opens — expected 2031 at the earliest for this deal, once/if it closes.
