Cellution Biologics Inc. signed a definitive agreement on 2026-07-16 to acquire the SimpliDerm hydrated human acellular dermal matrix business from Elutia Inc. in a transaction valued at up to $11 million: $8 million in cash at closing plus up to $3 million in technology transfer and commercial milestone payments over 18 months. The divestiture completes Elutia's strategic process for SimpliDerm and provides non-dilutive capital ahead of the targeted 2027 commercial launch of NXT-41x, its next-generation antibiotic-eluting biomatrix. For Cellution Biologics, the acquisition marks entry into the U.S. reconstructive surgery market, broadening a portfolio spanning wound care, ocular repair and surgical applications. Closing is expected in the second half of 2026.
