Axogen, Inc. entered into a definitive agreement (Agreement and Plan of Merger) to acquire BioCircuit Technologies, Inc. for a base purchase price of $200.0 million in cash. BioCircuit, a privately held Atlanta, Georgia medical technology company, develops NerveTape, an FDA-cleared device for sutureless peripheral nerve repair that lets surgeons align and connect transected nerves without microsutures, and ConformaWrap. Axogen said it intends to fund the purchase price with proceeds from a concurrently announced public offering of its common stock, and expects the transaction to close in the fourth quarter of 2026 and to be accretive to revenue growth, adjusted EBITDA margin and adjusted EPS in the first year following close while maintaining positive free cash flow.
