Pharma BD Deal Intelligence
Ambrose Healthcare acquired 100% of the shares of AM-Pharma B.V., entitling AM-Pharma shareholders to up to EUR 161 million comprising an undisclosed upfront payment plus milestone payments contingent on commercialisation of the hypophosphatasia programme, together with royalties on future sales. The acquired asset is ilofotase alfa, a recombinant human alkaline phosphatase enzyme-replacement therapy with a safety database spanning nearly 700 patients. Ilofotase alfa previously failed a Phase III trial in sepsis-associated acute kidney injury in 2022; Ambrose will redevelop it as Phase 2-ready enzyme replacement therapy for the rare inherited disorder hypophosphatasia (HPP). The transaction also establishes Ambrose's first European base, in Utrecht, the Netherlands, adding regulatory, quality and scientific capability, and is consistent with Ambrose's strategy of acquiring stalled compounds that already carry human data and redirecting them into rare-disease indications.
