Actavis plc / Forest Laboratories, Inc.

2014 · Acquisition/Merger · $25.0B · Complete

Actavis's $25B, all-cash-and-stock buy of Forest Laboratories landed as a clean bolt-on rather than a bet-the-company gamble: Forest's branded portfolio, anchored by Namenda, slotted straight into Actavis's roll-up strategy and closed on schedule just four months after announcement.

Disease & market context

CNS / Alzheimer's Disease

500K US cases/yr · $3.5B US Alzheimer's Rx Market (2014) · $1.5B Namenda Revenue (2013)

Disease Overview

Forest Laboratories' crown jewel was Namenda (memantine), the only approved NMDA receptor antagonist for moderate-to-severe Alzheimer's. With $1.5B in annual sales, Namenda was facing imminent generic competition. Forest launched Namenda XR (extended-release) and attempted a controversial 'forced switch' from IR to XR to extend exclusivity, which was blocked by courts.

Competitive Landscape

The AD symptomatic treatment market was mature and genericizing: Aricept (donepezil) had already gone generic. Namenda XR extended the franchise briefly but generics arrived in 2015. Beyond Namenda, Forest brought a diversified portfolio including Bystolic (nebivolol), Daliresp (roflumilast), and Viibryd (vilazodone). Actavis used the Forest acquisition as a stepping stone to the $70.5B Allergan deal later in 2014.
