AbbVie acquired Cerevel Therapeutics for $45.00/share cash, total equity value ~$8.7B; deal closed August 1, 2024. The acquisition added Cerevel's neuroscience pipeline, anchored by emraclidine (CVL-231, M4 muscarinic PAM) for schizophrenia and tavapadon (CVL-751, D1/D5 partial agonist) for Parkinson's. Post-close the thesis split sharply: on November 11, 2024 emraclidine FAILED both Phase 2 EMPOWER-1 and EMPOWER-2 trials, missing the PANSS primary endpoint at week 6, and AbbVie subsequently took an ~$3.5B non-cash intangible-asset impairment charge. Tavapadon, however, swept its Phase 3 TEMPO-1/-2/-3 program; AbbVie filed a New Drug Application with the U.S. FDA on September 26, 2025 (decision expected H1 2026, not yet approved as of mid-2026), positioning tavapadon as the deal's principal remaining value driver.
