$355M Acquisition value (proxy for franchise valuation)
Fluorescence in situ hybridization (FISH) is a molecular cytogenetic technique that detects and localizes specific DNA sequences on chromosomes. Vysis FISH probes are used clinically to identify gene amplifications, translocations and deletions that drive cancers such as CML (BCR-ABL), CLL (17p/13q deletions), HER2-amplified breast cancer, and bladder cancer (UroVysion).
The 2001 Vysis acquisition transformed Abbott from a clinical-chemistry company into a molecular diagnostics leader and seeded what became Abbott Molecular. Vysis's FISH probe portfolio competed directly with Roche/Ventana's IHC-based HER2 testing (HercepTest, PATHWAY), Dako's HER2 FISH PharmDx, and a fragmented landscape of academic-built lab-developed tests. UroVysion, the bladder cancer surveillance assay, was effectively first-in-class with no direct competitor at the time. The strategic value was the predictive-biomarker positioning: Vysis's PathVysion HER2 FISH became a companion diagnostic for Genentech's Herceptin, anchoring Abbott in the emerging companion-diagnostics paradigm. Post-deal, Abbott extended the franchise into ALK FISH for crizotinib (Pfizer's Xalkori) and CLL FISH panels — establishing FISH as a reimbursable standard of care across hematologic and solid tumors. The $355M cash deal at a 33% premium ($30.50/share) was viewed as expensive at the time but ultimately strategic; Vysis FISH probes remain in routine oncology workflow today and underpin Abbott Molecular's continued role in oncology diagnostics.
